Job Summary:
The role holder is responsible for review drafting and negotiation of Commercial contracts, Marketing Agreements, E-com agreements like Marketplace Contracts, Service Agreement, Promotional Campaigns, IT Services, Supply Chain and Last Mile Delivery Contracts, Sponsorship Contracts, Product Listing agreements, Consignment sales, Supply and Procurement agreements etc. coordinating with various divisions/business units/departments of GMG for ensuring adherence to legal provisions and providing legal advice, to minimize and effectively manage legal exposure. The role holder also provides support in the contracting and renewal of commercial leases for the Group.
Accountabilities
Core Responsibilities:
Exhibits familiarity with terms and conditions of the different types of contracts for GMG group and third party and applies such understanding of the terms and conditions in the work processes by means of verification against known or standardized practices.
Performs pre-contract activities including drafting/review of the terms and conditions of contracts and agreements, etc.
Leads the negotiation with third parties, on terms and conditions, for high-value, high-risk contracts and drafts/ amends these contracts, for internal review and sign-off.
Keeps abreast with all regulatory and local law related updates/changes which might impact the legal terms and conditions for contracts, analyzes the impact of the regulatory amendments and redrafts the terms and conditions for the best interests of GMG group.
Develop and oversee control systems to prevent or deal with violations of Contractual requirements and internal policies.
Evaluate the efficiency of controls and improve them continuously.
Standardization of drafts and internal processes.
Project Management.
Legal Advisory and Opinions.
Prepare reports/risk assessment memos for senior management and external regulatory bodies as appropriate.
People Management:
The incumbent holds no direct supervisory responsibilities but is expected to engage effectively within their function and collaboratively across cross-functional teams. This role contributes meaningfully, whether through operational contributions and/or by offering specialized expertise, guidance, and support, to ensure alignment with either functional and/or strategic organizational goals and objectives.
Robust understanding of corporate and commercial law.
Specific expertise in contract law, commercial transactions, property law, and intellectual property.
Capability to conduct thorough legal analysis.
Skilled in negotiating trade contracts.
Ability to proactively advise on mitigating legal exposures in GMG's operations.
Strong communication and interpersonal skills for interacting with senior leadership, government bodies, and external legal entities.
Proficiency in legal technologies, including case management and contract management software.
Ensures efficient documentation and record-keeping practices.
Keeps abreast of legal developments and addresses potential regulatory changes impacting GMG’s operations.
Job Requirements
Bachelor’s degree in law or LLB. Masters will be added advantage.
A minimum of 8 years of relevant experience with at least 4 years in a similar role for a retail/diversified organization.
Proficiency in English (written and verbal). Additional language proficiency may be beneficial.
Excellent legal writing skills.
Advanced oral communication.
Stakeholder management: Engaging with senior executive leadership.
