Job Brief
We are seeking a highly skilled and experienced Corporate Lawyer to join our dynamic team at Agility focused on the KSA market. As a Corporate Lawyer, you will play a pivotal role in providing legal guidance and support across our operations in the MEA region. Your expertise in corporate law, coupled with your bilingual proficiency in Arabic and English, will be essential in ensuring compliance with local laws, regulations, and corporate governance requirements.

Responsibilities

Provide legal advice and support to the company in various corporate matters, ensuring compliance with local laws, regulations, and corporate governance requirements.

Draft, review, and negotiate a wide range of legal agreements, including contracts and joint ventures.

Conduct legal research and analysis on complex legal issues, providing accurate and timely advice to internal stakeholders.

Manage and oversee legal documentation, ensuring proper record‑keeping and documentation of corporate transactions.

Collaborate with cross‑functional teams (finance, HR, operations) to provide legal support and guidance on business initiatives.

Assist the business on legal matters and address queries on transactions, including jurisdiction clauses, indemnity clauses, and potential dispute concerns.

Act as the legal voice for the organization, highlighting business risks and recommending alternative options to mitigate them.

Communicate and negotiate with external parties (regulators, external counsel, authorities) to create relations of trust.

Work closely with the in‑house litigation team and external legal counsels.

Handle regulatory enquiries.

Stay up‑to‑date with changes in laws and regulations that may impact the company’s operations, proactively advising management on potential legal risks and implications.

Research and evaluate risk factors related to business decisions and operations; maintain and continuously upgrade internal governance policies, monitoring compliance regularly.

Apply effective risk management techniques and offer proactive advice on possible legal issues.

Assist in handling client complaints and disputes to avoid litigation.

Qualifications

Master’s degree in Corporate Law or equivalent.

Minimum 8 years of private practice experience, or equivalent experience in a legal department of a large corporate, and in good standing in the current role.

Proficiencies

Excellent knowledge and understanding of corporate law and procedures.

Proficiency in Arabic and English (reading and writing).

Outstanding communication and influencing skills.

Ability to comprehend the external environment of a corporation and its business context, applying judgment accordingly.

High degree of professional ethics and integrity, sound judgment, and ability to analyze and synthesize complex situations and information.

Demonstrated ability to create legal defensive or proactive strategies.
